These Terms of Service (“Terms”) govern your access to and use of the PULSIFY website, software platform, and related services (collectively, the “Service”).

By accessing or using PULSIFY, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Description of Service

PULSIFY is a subscription-based software platform that provides tools for missed-call capture, automated SMS messaging, email notifications, and related communication workflows for businesses.

PULSIFY operates using third-party infrastructure and platforms, including but not limited to GoHighLevel, SMS carriers, email providers, and payment processors.

We do not guarantee business outcomes, revenue increases, lead generation, or customer conversion.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements. By using the Service, you represent that you meet these requirements.

3. Account Registration & Responsibility

You are responsible for:

Providing accurate and current information

Maintaining the security of your login credentials

All activity conducted through your account

You are solely responsible for the content, messaging, and data transmitted through the Service.

4. Subscription, Billing & Payments

PULSIFY is billed on a recurring subscription basis

Payments are processed via third-party providers (e.g., Stripe)

All fees are non-refundable, except where required by law

Failure to pay may result in suspension or termination

We reserve the right to modify pricing with reasonable notice.

5. Acceptable Use Policy

You agree not to use the Service to:

Send spam, unsolicited, or deceptive messages

Violate any local, state, federal, or international laws

Harass, threaten, or abuse recipients

Transmit malware or harmful code

Circumvent carrier, platform, or compliance rules

Violation may result in immediate suspension or termination without refund.

6. SMS, A2P & Messaging Compliance (IMPORTANT)

PULSIFY SMS messages may include, but are not limited to:

• Missed call notifications

• Service-related alerts and reminders

• Account and system notifications

• Customer communication triggered by user activity

• Administrative or support-related messages

PULSIFY does not send marketing or promotional messages to end consumers (i.e., your customers or contacts) unless explicitly configured and authorized by the user in compliance with applicable laws.

Message and data rates may apply depending on the recipient’s mobile carrier and plan.

If you use PULSIFY for SMS or messaging services, you expressly acknowledge and agree that:

You are solely responsible for obtaining proper, documented opt-in consent.

You represent and warrant that you have the legal right to contact any phone numbers used with the Service and that such consent has not been purchased, rented, or otherwise improperly obtained.

You must comply with TCPA, A2P 10DLC requirements, carrier rules, and all applicable messaging laws

You must provide clear opt-out mechanisms (e.g., STOP)

You are responsible for message content, timing, frequency, and targeting

PULSIFY does not provide legal advice and does not guarantee carrier approval.

You agree that PULSIFY is not liable for:

Carrier filtering or message blocking

A2P registration denial or suspension

Fines, penalties, or enforcement actions related to messaging violations

Mobile carriers are not liable for delayed or undelivered messages.

7. GoHighLevel Platform Disclaimer

PULSIFY utilizes third-party platforms, including GoHighLevel, to deliver certain features.

PULSIFY:

Does not control third-party platform availability

Is not responsible for outages, changes, or limitations imposed by GoHighLevel or other providers

Makes no warranties regarding third-party services

Your use of the Service is subject to applicable third-party terms in addition to these Terms.

8. Intellectual Property

All software, branding, trademarks, and content associated with PULSIFY are owned by or licensed to us.

You may not:

Copy, resell, sublicense, or reverse engineer the Service

Use PULSIFY branding without written permission

9. Service Availability & Modifications

The Service is provided “as available.”
We may modify, suspend, or discontinue features at any time without liability.

10. Termination

We may suspend or terminate your account:

For violation of these Terms

For non-payment

For compliance or risk concerns

You may cancel your subscription at any time. No refunds will be issued for unused time.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

To the maximum extent permitted by law, PULSIFY shall not be liable for:

Indirect, incidental, or consequential damages

Lost profits or business interruption

Data loss or messaging failures

Our total liability shall not exceed the amount paid by you in the preceding 30 days.

13. Indemnification

You agree to indemnify and hold harmless PULSIFY from any claims, damages, losses, fines, or legal fees arising from:

Your use of the Service

Your messaging content or practices

Your violation of laws, carrier rules, or regulations

14. Mandatory Arbitration & Class Action Waiver

PLEASE READ CAREFULLY.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, not in court.

Arbitration will be conducted on an individual basis

Class actions, class arbitrations, and representative actions are waived

You waive the right to a jury trial

This clause survives termination of your account.

Arbitration shall be conducted under the rules of the American Arbitration Association (AAA).
The arbitration shall take place in NY, unless otherwise agreed by the parties.

15. Governing Law

These Terms are governed by the laws of the state of NY, without regard to conflict-of-law principles.

16. Changes to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
